These Terms & Conditions ("Agreement") govern the booking, rental, and use of Nova Event Space ("the Venue," "Nova," "we," "us," or "our") located at 360 Saint Peter St, Unit 4, Saint Paul, MN 55102. By submitting a booking request, signing a Rental Agreement, or making any payment toward a reservation, the individual or organization booking the Venue ("Client," "you," or "your") agrees to be bound by the terms set out below.
1. Date Availability & Booking Confirmation
Event dates are held on a first-come, first-served basis. A date is only reserved once Nova has received
a signed Rental Agreement and
The cleared Non-Refundable Reservation Fee described in Section 2.
Nova reserves the right to decline any booking at its sole discretion, subject to applicable anti-discrimination law.
Tentative holds without a signed Rental Agreement and cleared Reservation Fee are released after 5 business days.
2. Reservation Fee & Payment Schedule
Non-Refundable Reservation Fee
To reserve an event date, the Client must pay a Non-Refundable Reservation Fee equal to 25% of the total rental fee at the time of booking. The event date is not considered reserved until the signed Rental Agreement is received and the Reservation Fee has cleared. The Reservation Fee is non-refundable except where required by law.
Payment Schedule — Events Booked More Than 90 Days Before the Event

$1,000 Refundable Security/Damage Deposit due 14 days before the event
Payment Schedule — Events Booked Within 30 Days of the Event
100% of the rental fee due immediately

Accepted Payment Methods
Bank Transfer, PayPal, Stripe.
Late or Missed Payments
Failure to make any payment by its due date allows Nova to cancel the reservation, retain all non-refundable fees already paid, and immediately re-book the date to another client without further notice or liability to the Client.
Cancellation Policy
Cancellation refunds are calculated based on the number of days between the cancellation notice and the event date, as follows. The Reservation Fee described in Section 2 is retained by Nova in all cancellation scenarios.
More than 90 days before the event: Reservation Fee retained; all remaining payments refunded.
61–90 days before the event: Reservation Fee retained; 75% of remaining payments refunded.
31–60 days before the event: Reservation Fee retained; 50% of remaining payments refunded.
15–30 days before the event: Reservation Fee retained; 25% of remaining payments refunded.
14 days or fewer before the event: No refund.
Cancellation requests must be submitted in writing. The date of Nova's receipt of the written cancellation notice governs which tier above applies.
Rescheduling Policy
One complimentary reschedule will be accommodated, subject to venue availability, provided the request is made at least 30 days before the originally scheduled event, the new date falls within 12 months of the original date, and the event type remains the same.
Additional reschedule requests beyond the first will incur a $500 administrative fee. If Nova's pricing has increased between the original booking and the rescheduled date, the Client must pay the difference.
Security / Damage Deposit
A refundable $1,000 Security/Damage Deposit is required per the payment schedule in Section 2. The deposit will be returned within 7–14 business days after the event, less any documented deductions for damage to the Venue, missing property, excessive cleaning, furniture repair, or overtime charges under Section 6.
6. Overtime Policy
Any use of the Venue beyond the agreed end time in the Rental Agreement is billed as overtime at $500 per hour, or any portion of an hour. Overtime charges may be deducted from the Security/Damage Deposit or invoiced separately.
Guest Count & Maximum Occupancy
The Client's final guest count is due, and becomes locked, 14 days before the event. No reductions to the guest count are permitted after this date. Increases to the guest count after this date may only be accommodated if venue capacity and staffing permit.
Maximum occupancy depends on the portion of the property rented, and must not be exceeded under any circumstance:
Nova Event Space only: 300 guests
Restaurant space only: 400 guests
Full venue (Nova Event Space + Restaurant combined): 700 guests
The Rental Agreement will specify which configuration applies to the Client's booking, and the corresponding occupancy limit governs that event.
Venue Access & Use
Rental time includes setup, the event itself, and cleanup/breakdown, and access begins and ends at the times specified in the Rental Agreement. Early access beyond the rented window requires separate advance approval and may incur an additional fee. The Venue may not be used for any unlawful purpose or in a manner that violates local noise, fire, or safety ordinances.
Cleaning Responsibilities
Prior to departure, the Client must bag and remove all trash, remove all decorations and personal property, and return any moved furniture to its original configuration. Failure to complete these tasks may result in a $500 cleaning fee, deducted from the Security/Damage Deposit.
Outside Vendors, Catering & Decorations
The Client may engage outside vendors (caterers, florists, DJs, photographers, decorators, transportation providers, entertainers, rental companies, and similar third parties), subject to prior written approval from Nova. Vendors must provide proof of insurance upon request.
Nova is not responsible for, and disclaims liability for, any loss, damage, delay, or dispute involving outside vendors, including but not limited to DJs, caterers, photographers, decorators, florists, transportation providers, hotels, entertainers, and rental companies. Vendor selection, performance, and any contract with a vendor is solely between the Client and that vendor.
Decorations may not use nails, staples, tape, or adhesives that damage walls, floors, or ceilings. Open flames, confetti, glitter, and fog machines are prohibited unless approved by Nova in advance. All decor and vendor equipment must be removed at the end of the event unless otherwise agreed in writing.
Alcohol Policy
Nova does not sell, supply, or serve alcohol. Underage drinking is strictly prohibited, and all guests consuming alcohol must be 21 years of age or older. The Client is responsible for verifying guest ages and ensuring no alcohol is served to or consumed by anyone under 21.
Self-service alcohol is prohibited wherever prohibited by applicable law. Where a Bring Your Own Beverage (BYOB) arrangement is lawful, Nova permits it for guests aged 21 and over. The Client assumes full responsibility for the lawful, safe, and responsible service and consumption of any alcohol brought onto the premises, including arranging safe transportation for guests as needed. Nova may suspend or stop alcohol consumption at any time if it has concerns about guest safety or conduct.
No Smoking Policy
Smoking, including cigarettes, cigars, vaping, and e-cigarettes, is strictly prohibited inside the Venue at all times. Smoking is permitted only in designated outdoor areas, if any, as indicated by Nova. Violation of this policy may result in additional cleaning fees, deduction from the Security/Damage Deposit, and/or immediate termination of the event without refund.
Damages & Liability
The Client is financially responsible for any damage to the Venue, its fixtures, furnishings, or equipment caused by the Client, guests, or vendors. Repair or replacement costs will first be deducted from the Security/Damage Deposit; any amount exceeding the deposit will be invoiced separately and is due within 30 days of invoicing.
Nova is not liable for loss, theft, or damage to personal property brought onto the premises by the Client, guests, or vendors. To the fullest extent permitted by law, Nova's total liability arising from this Agreement shall not exceed the total amount paid by the Client for the booking.
Insurance
Nova may require the Client to obtain event liability or special event insurance naming Nova as an additional insured, particularly for events involving alcohol, large guest counts, or higher-risk activities, and may recommend insurance providers to the Client. Where required, proof of insurance must be submitted no later than 14 days before the event.
HOA / Building Rules
The Venue is part of a building or property governed by a Homeowners Association (HOA) or building management, which maintains its own rules regarding matters such as noise levels, move-in/move-out times, parking, trash disposal, and common area use. Nova will provide the Client with a copy of the applicable HOA/building rules prior to the event, along with any additional restrictions specific to the booking.
The Client agrees to read, understand, and comply with all HOA/building rules in addition to the terms of this Agreement. In the event of a conflict, the stricter rule shall apply. The Client is responsible for any fines, penalties, or charges imposed by the HOA or building management as a result of the Client's, guests', or vendors' violation of these rules.
Conduct, Guest Behavior & Event Cancellation by Nova
The Client is responsible for the conduct of all guests, vendors, and invitees during the event. Illegal drug use, weapons, and violent behavior are strictly prohibited on the premises.
Nova may cancel or immediately end an event, without refund, for any of the following: threats or abusive conduct, fraudulent payment, submission of false information, violation of this Agreement or applicable policies, illegal activity, exceeding maximum occupancy, unsafe conduct, refusal to follow staff instructions, or other uncooperative behavior that Nova reasonably determines threatens safety, property, or the orderly operation of the Venue.
Force Majeure
Nova shall not be held liable for failure to perform its obligations due to circumstances beyond its reasonable control, including natural disasters, extreme weather, government orders or restrictions, pandemics, occupancy restrictions, utility failures, or other acts of God.
Events affected by such circumstances may be rescheduled within 12 months, subject to availability. If the event is not rescheduled, payments already made will be converted to a non-transferable event credit valid for up to 12 months. If the credit is not used within that period, the Client will become eligible for a refund of the unused credit, less any applicable fees and documented costs already incurred by Nova.
Indemnification
The Client agrees to indemnify and hold harmless Nova, its owners, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from the Client's or its guests'/vendors' use of the Venue, except to the extent caused by Nova's own negligence.
Photography & Marketing
Nova may photograph events for internal records and, with the Client's prior written consent, for marketing and promotional purposes. The Client may opt out of promotional use by notifying Nova in writing before the event.
20. Chargebacks
By accepting this Terms, the Client acknowledges the Reservation Fee, Payment Schedule, Cancellation Policy, and Rescheduling Policy set out above, and agrees not to initiate improper or bad-faith credit card chargebacks in connection with amounts properly owed or retained under this Agreement, subject to applicable law.
Attorney Fees & Governing Law
In any legal action arising from this Agreement, the prevailing party may recover reasonable attorney fees, court costs, and collection expenses, where permitted by applicable law.
This Agreement shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to conflict of law principles.
Amendments
Nova reserves the right to update these Terms & Conditions at any time. The version in effect at the time of booking will govern that booking. Material changes will be communicated to the Client in writing.
Acceptance
By submitting payment, signing a Rental Agreement, or otherwise confirming a booking, the Client acknowledges that they have read, understood, and agreed to these Terms & Conditions in full.
